Briscoe Capital is an entrepreneur-led acquisition company. We are seeking to buy and personally operate one established Texas business for the long term.

The Profile
Acquisition profile
One business, held for the long term. We would rather pass quickly than waste your seller's time.
Annual revenue
$1 million and above
This is the scale that best fits our operating and financing plan, not a judgment about smaller companies.
Adjusted annual cash flow
$300,000 to $1 million
Evaluated after accounting for required management compensation. We look at SDE and EBITDA on their own terms rather than treating them as interchangeable, and we will walk you through our normalization on any specific deal.
Geography
Texas, with a clear preference for businesses within practical driving reach of Austin or Dallas
Proximity matters because we intend to be on site, not on a quarterly call.
Profitability
Established and consistently profitable, with a multi-year track record we can verify.
Team
Capable employees in place, or a management transition we can realistically work through together.
Customers
Durable, repeat relationships. We look closely at concentration and will discuss it openly rather than using it as a late-stage retrade.
Industry
We keep an open mind and would rather hear what you have than screen it out on a label.
We are less suited to businesses that depend on a licence or technical credential only the departing owner holds.
Growth
Clear, unhurried opportunities to grow through sales, marketing, systems, or hiring.
Financing
We anticipate an SBA 7(a) acquisition loan as the core of the structure, combined with our own equity and, where it suits both sides, seller financing.
We are not claiming committed capital. We have a defined financing plan and are glad to put you in touch with our lender conversations at the appropriate stage.
Response time
We aim to respond to every opportunity within two business days, including the ones we pass on, with a reason.
A strong fit looks like
- An owner who cares what happens to the team after closing
- Founder or family owned, with a real succession question to answer
- Straightforward operations we can learn quickly and run honestly
- Revenue that repeats, from customers who stay
- Clean enough books that diligence is a confirmation, not an excavation
- A seller willing to stay through a defined transition
Probably not a fit
- Pre-revenue, turnaround, or distressed situations
- Businesses that only work because the owner personally holds the licence
- Revenue concentrated in one contract that is up for renewal
- Anything requiring us to lead with cost cutting to make the numbers work
- Outside Texas, or too far from Austin or Dallas to be present regularly
- A process where we cannot speak with the owner at some point
